Supplemental Terms to the CivicRush Terms of Service

These Additional CivicRush Sponsor Terms of Service (“Sponsor Terms”) govern the use of sponsorship features made available to business and organizational users (“Sponsor,” “you”) within the CivicRush digital platform (“CivicRush” or the “Platform”), owned and operated by Cirrus Mio, Inc., a Wyoming corporation headquartered in Reston, Virginia (the “Company”). 

Funds associated with sponsor pledges, CIV, the Service Fee, and charitable payouts are all held and disbursed exclusively by Civillos, Inc., a registered 501(c)(3) public charity (“Civillos”), via its own third-party processor (i.e., Stripe) account. Cirrus Mio, Inc. never receives, holds, or has the ability to move any of these funds, and has no access to Civillos’s Stripe account. Cirrus Mio’s compensation for operating the Platform, funded by the Service Fee (Section 5), is paid to it by Civillos only as an administrative payout after an event concludes — the same downstream mechanism used to pay charities.

By participating as a Sponsor, accessing Sponsorship Opportunities, funding a pledge, or using any related features, you agree to these Sponsor Terms. These Sponsor Terms are supplemental to the CivicRush Terms of Service and where the two conflict, these Sponsor Terms control. If you are registering on behalf of an organization, you confirm you have authority to bind that organization to this agreement.

Geographic scope: These Sponsor Terms apply only to Sponsors located and doing business within the United States, the Commonwealth of Puerto Rico and other US territories. CivicRush services are likewise intended for use in those jurisdictions and otherwise should not be used.

1. Eligibility & Business Accounts

1.1 To submit a sponsorship pledge, the Sponsor must maintain a verified Business Account and be located in and subject to the jurisdiction of the United States, Puerto Rico, or other US Territory.

1.2 Sponsors are responsible for ensuring: accuracy of their business information; that the individual submitting sponsorship pledges is authorized to bind the Sponsor to these Sponsor Terms; and compliance with all laws applicable to their sponsorship activities.

2. Sponsorship Funding

2.1 Conversion to active sponsorship and payment. Sponsors are able to make choices within CivicRush about their pledges and those choices impact how the sponsor’s donation supports the event and community. Upon organizer acceptance, the Sponsor’s saved Stripe payment method is charged. On success, the sponsor becomes an active sponsor and the full pledge amount is paid to Civillos who holds it until the event is marked complete.

3. Fees, Payment & Billing Policies

3.1 Sponsors agree to pay the full pledge amount (Direct-to-Charity Share plus Pay Forward Pool), a platform Service Fee, and any applicable Stripe processing fees on their own pledge. The Service Fee is calculated as a percentage of the pledge amount, added on top, and disclosed to the Sponsor both when the pledge is created and again on the payment review screen before payment is submitted. The Service Fee is collected by Civillos together with the pledge, as part of the same Stripe transaction, and differentiated from the charitable contribution so that the sponsor can separately determine related tax implications. The Service Fee compensates Civillos for administering the sponsorship program, including any portion Civillos subsequently pays to Cirrus Mio, Inc. and other vendors.

3.2 Service Fee rate and third-party (e.g., Stripe) processing fees may be updated by CivicRush from time to time and if so will be presented to sponsors as part of the pledge process. 

3.3 Payments are final and non-refundable.

3.4 Sponsors must not rely on the Platform for financial reporting, tax documentation with the exception of receipts gained from the CivicRush site, compliance, or legal audits.

4. Sponsor Visibility & Promotional Use

4.1 Sponsor recognition. Sponsors are able to position their charitable contributions in the community as part of their profile and have visibility within CivicRush as event sponsor.

4.2 Accuracy of public statements. Sponsors must not misrepresent their relationship with CivicRush, the nature of the sponsorship, or how charitable funds are paid out.

4.3 Prohibited marketing representations. Sponsors must not advertise their products or services within CivicRush and must not advertise the sponsorship as a “percentage of sales” donation, a consumer-facing charity promotion, or an implicit promise to donate money directly to any charity.

5. Sponsor Compliance Responsibilities

Sponsors are solely responsible for ensuring their use of CivicRush complies with:

5.1 Charitable solicitation & co-venture laws. Sponsors must ensure their external marketing does not create an unintended charitable promotion.

5.2 Anti-bribery & anti-corruption laws. Sponsorships may not be used to influence government officials, business decisions, or procurement processes.

5.3 Privacy & data-use laws. Sponsors must comply with applicable U.S., Puerto Rico, and other US Territories privacy laws, as applicable, when viewing or using data within the dashboard.

5.4 Internal conflicts of interest. Sponsors must ensure sponsorships do not create personal benefit or conflicts of interest within their organization.

5.5 Platform conduct. Sponsors may not: attempt to extract or scrape platform data; misuse sponsorship features; interfere with event organizers, volunteers, or donors; or upload unlawful or misleading content.

6. Intellectual Property & Licensing

Sponsor grants CivicRush a non-exclusive, royalty-free license to display information provided by the Sponsor, including but not limited to: the Sponsor’s name, logo, and branding. Sponsor represents it has rights to all submitted material.

7. Disclaimers, Limitation of Liability & Indemnity

7.1 Platform provided “as-is.” CivicRush is provided without warranties of any kind.

7.2 Limitation of liability. To the fullest extent permitted by law, Cirrus Mio, Inc. and Civillos are not liable for lost data, lost profits, service interruptions, system errors; or the actions of event organizers, volunteers, donors, or other users of CivicRush.

7.3 Indemnification. Sponsor agrees to indemnify and hold harmless Cirrus Mio, Inc. and Civillos against claims arising from Sponsor’s marketing or public statements, Sponsor’s misuse of data, Sponsor’s tax or compliance errors, or Sponsor’s unauthorized sponsorship activities.

8. Termination of Sponsorship

CivicRush may suspend or terminate Sponsor access in its sole discretion, including, but not limited to, for violations of these Sponsor Terms, unlawful conduct, stale accounts or misuse of Platform features.

15. Changes to These Terms

CivicRush may update these Sponsor Terms at any time. For material changes, we will provide notice through the Platform or by email before the change applies to new pledges. Continued use of sponsorship features after notice constitutes acceptance.
